Part 3 covers the ongoing obligations that survive the initial effective date: annual renewals, material change amendments, and the ongoing management of Item 20 outlet statistics and the franchisee contact list.
1. Annual Renewal
Most registration states require an annual renewal keyed to the FDD’s effective date. Each renewal filing must include:
- audited financials for the new fiscal year
- updated litigation and bankruptcy history
- refreshed franchisee and outlet counts (Item 20)
Missing the renewal window means selling in that state stops immediately, and reinstating registration effectively requires a workflow equivalent to a new filing. That is why any franchisor should automate a 60-day pre-renewal alert in the internal calendar.
2. Material Change Amendments
Even mid-fiscal-year, a material change triggers an obligation to amend the FDD and refile. Representative triggers include:
- replacement of executive management or major-officer litigation
- changes to the fee structure (royalty rates, ad-fund contribution rates, etc.)
- outlet-performance results that materially alter the basis for Item 19 representations
- changes in brand assets or trademark status
- termination of a major supplier arrangement or other system-structural events
State standards vary, but the general test is whether “a reasonable prospective franchisee would consider the information important to the investment decision.” When in doubt, amending and refiling carries far less risk than waiting.
3. Item 20 Outlet Statistics and Franchisee Contacts
Item 20 requires three years of outlet openings, closings, transfers, and terminations, plus the list and contact information of former franchisees. If this list is inaccurate at renewal, the examiner will flag it immediately and litigation risk escalates as well. A CRM or dedicated franchisee-relationship tool should keep this data accurate in real time.
